ROI Insights: Terms of Service

Welcome to ROI Insights, a service provided by MosierData ("Company", "we", "our", or "us"). By accessing or using our website, software, dashboard, or associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

ROI Insights is a marketing measurement and analytics platform designed to aggregate data from various third-party sources (such as Google Analytics, Google Ads, Google Search Console, and call tracking providers) into a unified dashboard. The Service provides AI-generated summaries, performance metrics, and actionable insights based on this aggregated data.

We act as an independent measurement layer. We do not manage your ad campaigns, execute SEO strategies, or directly alter your marketing assets unless explicitly agreed upon in a separate agency agreement.

2. Account Registration and Access

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account.

All project scoping and data access within the Service are strictly managed at the client level, not the company level. This means each client entity maintains isolated data environments, and you may not use a single subscription to aggregate data across multiple distinct, unaffiliated businesses unless authorized by a specific multi-location or agency tier.

3. Subscription Tiers, Billing, and Payments

3.1. Subscription Fees

The Service is offered on a tiered subscription basis (e.g., Visibility, Growth, Omnichannel). By subscribing, you agree to pay the monthly or annual fees associated with your chosen tier. Fees are billed in advance and are non-refundable, except as expressly provided in our 30-Day Money-Back Guarantee.

3.2. Pass-Through Costs

Certain features of the Service require active subscriptions to third-party tools (e.g., WhatConverts for call tracking). You are solely responsible for paying the fees associated with these third-party tools. MosierData may provide affiliate links for these services and may earn a commission if you sign up through them.

3.3. 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied with the Service within the first 30 days following your initial payment, you may request a full refund of your subscription fee. This guarantee applies to the software subscription only; one-time setup fees (such as the Assisted Setup) are non-refundable once the technical work has commenced.

4. Third-Party Integrations and Data Access

The Service relies on accessing data from third-party platforms (the "Integrations"). By connecting an Integration to the Service, you grant us explicit permission to access, retrieve, process, and store data from that platform on your behalf.

4.1. Authorization

You represent and warrant that you have the legal right and necessary permissions to grant us access to the data within these Integrations. We are not responsible for any violation of third-party terms of service resulting from your connection of these accounts to ROI Insights.

4.2. API Limitations

Our ability to provide the Service depends on the continuous availability of third-party APIs. We are not liable for any degradation of Service caused by changes, rate limits, or deprecations of third-party APIs (e.g., Google deciding to restrict certain data points).

5. Assisted Setup Service

If you purchase the "Assisted Setup" service, you agree to the specific Scope of Work provided at the time of purchase. This is a one-time, non-refundable fee (once work begins) covering the configuration of tracking infrastructure. You must provide timely access to necessary accounts. If access is delayed by more than 30 days, we reserve the right to pause the setup process, and reactivation may incur additional fees.

6. Intellectual Property

6.1. Our Intellectual Property

The Service, including its original content, features, dashboard design, AI algorithms, and underlying codebase, are owned by MosierData and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2. Your Data

You retain all rights to the raw data imported into the Service from your Integrations. You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process this data solely for the purpose of providing, maintaining, and improving the Service.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall MosierData, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.

We provide insights and recommendations (including through the Ads Advisor feature). However, the decision to act on these recommendations is entirely yours. We are not liable for any financial losses, wasted ad spend, or negative business outcomes resulting from actions taken based on our dashboard's insights.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

9. Termination

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current paid billing cycle. We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which MosierData is registered, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
